Chapter 12 - The Hidden Clause

The San Diego Harbor Yacht Club was an exclusive sanctuary for the ultra-wealthy,
where multi-million dollar yachts swayed gently against the private piers under the evening sky.
The ocean air was crisp,
carrying the faint salt scent of the tide,
mixed with the aroma of expensive cigars and fine wines.
Victoria walked into the private dining room on the upper deck,
dressed in a sharp tailored black jumpsuit,
her dark hair falling gracefully over her shoulders.
Sitting at a corner table overlooking the marina was Damien Cross,
a tall man in his late forties with silver-streaked hair,
piercing blue eyes,
and an air of arrogant invincibility.
He held a glass of vintage scotch in his hand,
smiling casually as Victoria approached his table without any security guards behind her.
"Ah,
the famous Victoria Vance,"
Damien said,
his British accent rich and smooth as he stood up to offer a polite hand.
"Or should I say,
the ruthless architect who crushed her own husband and stole his legacy."
Victoria ignored his outstretched hand,
pulling out a chair and sitting down directly across from him.
"I did not come here to discuss my past marriage,
Mr. Cross,"
Victoria stated coldly,
her posture straight and commanding.
"I came to ask why you are spending tens of millions of dollars buying shares in a company you cannot control."
Damien chuckled softly,
taking a slow sip of his scotch and leaning forward against the table.
"You are a very impressive woman,
Victoria,"
Damien began,
his eyes locking onto hers with a predatory gleam.
"You handled Christopher with remarkable efficiency,"
"and you cleaned up Raymond's messy fraud in Tucson before the press could ruin the Lawson name."
"But you made one critical mistake,"
Damien added,
his smile widening into a mocking smirk.
"What mistake?"
Victoria asked,
her eyes narrowing slightly as she sensed the trap he was preparing to spring.
Damien pulled a thin silver flash drive from his jacket pocket and slid it across the white tablecloth.
"Two weeks before Christopher was ousted from Vextor Dynamics,"
Damien explained,
"he was desperate for liquid cash to fund Michelle's lavish lifestyle in Los Angeles."
"He came to me in secret,"
"seeking an emergency ten-million-dollar personal bridge loan."
"And as security for that loan,"
Damien continued,
"Christopher signed a supplementary intellectual property licensing agreement."
Victoria felt a slight shift in the atmosphere,
though her face remained completely unreadable.
"Christopher did not have the executive authority to pledge corporate patents without board approval,"
Victoria countered calmly.
"Normally,
that would be true,"
Damien admitted,
his voice dripping with triumph.
"However,"
"Christopher utilized an old emergency authorization clause from Vextor's founding charter,"
"a clause that your legal team failed to eliminate during the corporate restructuring."
"Under that clause,"
Damien stated,
leaning in closer,
"Apex Global now holds exclusive North American distribution rights to Vextor's primary clean-energy technology."
"If you try to void that agreement in court,"
"it will freeze Vextor's primary revenue stream for years in litigation,"
"wiping out fifty percent of your stock value overnight."
Victoria looked down at the silver flash drive sitting on the table,
calculating the mathematical implications within seconds.
Christopher's arrogant stupidity had left one final,
buried landmine behind,
a foolish contract that threatened to undermine everything she had built.
"What do you want,
Damien?"
Victoria asked,
her voice dropping into a chilling tone of absolute steel.
"I want fifty-one percent control of Vextor Dynamics,"
Damien demanded,
his eyes burning with cold ambition.
"You will surrender majority voting rights to Apex Global,"
"or I will execute the patent injunction tomorrow morning at eight o'clock."
"I will give you twenty-four hours to sign the surrender papers,"
Damien added,
standing up from the table and buttoning his jacket.
"Choose wisely,
Victoria,"
"because unlike your ex-husband,"
"I do not play games with spreadsheets."
Damien walked out of the private room,
leaving Victoria sitting alone at the table with the ocean breeze blowing softly through the open balcony doors.
She picked up the silver flash drive,
her mind working at lightning speed.
Damien Cross believed he had backed her into a corner,
May you like
but he had forgotten one crucial rule of war:
Never underestimate a woman who has already burned down her past to build her empire.
