Chapter 6 - The Boardroom Coup And The Disappearance Of False Ownership

At 10:00 AM sharp,
the emergency board of directors meeting commenced in the executive boardroom at Ironvale Systems headquarters in San Jose.
All seven board members sat around the polished mahogany table,
their expressions grave as they reviewed the encrypted dossier I had transmitted at dawn.
The dossier detailed Preston’s systematic attempts to siphon proprietary research,
his unauthorized backdoor communications with competing tech conglomerates,
and his fraudulent claims of equity ownership.
As the Chief Administrative Officer,
Preston was legally required to attend Saturday morning strategic briefings,
though he usually skipped them to play golf or socialize.
Today,
however,
the board had invoked Section 9 of the corporate bylaws regarding breach of fiduciary duty and executive malfeasance.
The heavy boardroom doors swung open at 10:15 AM,
and Preston walked in,
looking disheveled,
frantic,
and desperate after his humiliation at the bistro.
He had rushed straight from Palo Alto without changing his suit,
his tie slightly crooked and his usual arrogant swagger completely evaporated.
"What is the meaning of this emergency session?" Preston demanded loudly,
attempting to project an aura of authority he no longer possessed.
"I was not properly notified of an executive vote,
and these board actions are completely out of order!"
Board Chairman Arthur Vance—no relation to the deputy,
but a brilliant corporate veteran—looked at Preston with icy disdain.
"Sit down,
Preston,
" Arthur commanded,
his voice cutting through the tension like a razor.
"You are no longer an executive of Ironvale Systems,
nor do you hold any administrative authority within this corporation.
"
Preston scoffed defensively,
leaning his hands against the edge of the mahogany table and glaring around the room.
"You cannot fire me,
" Preston laughed nervously,
looking for supportive nods from directors he had cultivated over cocktails.
"My name is tied to the foundational growth of this company,
and I own twenty percent of the marital equity holdings!"
"Your name is tied to corporate fraud,
unauthorized data exfiltration,
and egregious breach of marital trust,
" Arthur stated coldly.
He slid a thick legal binder across the table,
stopping it right in front of Preston’s trembling hands.
"Let me enlighten you on corporate reality,
Preston,
since your wife was too kind to do it years ago.
"
Arthur opened the binder to the original incorporation documents filed fifteen years prior,
pointing to the primary shareholder signature page.
"Ironvale Systems was incorporated under an ironclad intellectual property trust that excludes all marital property claims and secondary assignees.
"
Preston stared at the document,
his eyes scanning the legal clauses while his face turned the color of ash.
"Furthermore,
" Arthur continued,
"our digital forensic audit has uncovered four dozen unauthorized wire transfers attempting to divert R&D funds to an offshore shell account.
"
"That account was registered under Marissa Lane’s maiden name using your corporate credentials.
"
The room fell into absolute silence as Preston realized that his clandestine financial embezzlement had been fully documented and mapped out.
"This is a fabricated conspiracy,
" Preston whispered hoarsely,
dropping back into a leather chair as his knees buckled.
"Eliza and I.
we were partners; she wouldn't destroy me over a mistress!"
"Eliza built this empire long before she ever met you,
Preston,
" Arthur replied softly,
closing the binder with a definitive thud.
"And today,
the firewall has purged the virus.
"
Preston sat paralyzed in the executive chair,
staring at the empty water glass before him while the board voted unanimously to terminate his contract with prejudice.
The corporate coup was complete,
May you like
swift,
and absolute.
