Chapter 7 - The Boardroom Panic

The forty-second floor of the Mercer Apex Tower on South Wacker Drive was an altar of polished steel and blackened oak.
Floor-to-ceiling glass overlooked the freezing expanse of the Chicago River far below.
At 10:15 AM, the executive boardroom was filled with twenty-two high-powered corporate players.
Investment bankers from Morgan Stanley and Goldman Sachs sat around the thirty-foot conference table with opened laptops.
At the head of the table sat Grant Mercer, his composure entirely restored by three shots of espresso and an emergency phone call with his public relations firm.
To his right sat Victoria Sterling, looking flawless in an ivory wool blazer and tailored slacks.
Her diamond engagement-style ring—a gift Grant had secretly purchased two weeks ago—was hidden beneath a discreet band of plain platinum.
"The public offering prospectus is finalized," Victoria said, addressing the bankers with confident precision.
"We have locked in the forty-five percent cornerstone investment from the Sterling Family Trust."
"Regulatory filings with the SEC are queued for submission at the closing bell on Friday."
"The initial valuation anchors Mercer Apex at eight point four billion dollars."
The bankers nodded, murmuring their approval as pages were turned.
Grant leaned forward, placing his hands flat against the mahogany surface.
"This is the culmination of seven years of aggressive infrastructure expansion," Grant said smoothly.
"We have streamlined our regional supply chains."
"We have absorbed our third-party logistics carriers into unified holding entities."
"Our risk exposure is practically nonexistent."
Suddenly, the frosted glass double doors of the boardroom swung open without warning.
Grant’s executive assistant, Cheryl, rushed into the room, her face flushed with anxiety.
"Mr. Mercer, I am so sorry to interrupt," Cheryl stammered.
"There are officers here."
"I told them you were in a closed executive session, but—"
Two men in dark suits pushed past Cheryl before she could finish the sentence.
They were accompanied by a uniformed deputy sheriff from the Cook County Sheriff's Office.
The lead man carried a thick stack of blue-backed legal documents stamped with the official red seal of the Chancery Division.
The entire boardroom went completely silent.
The investment bankers looked up from their screens, their expressions shifting from confidence to profound alarm.
"Are you Grant Douglas Mercer?" the process server asked in a booming, clear voice that carried across the executive floor.
Grant stood up, his eyes flashing with sudden rage.
"What is the meaning of this circus?"
"I am in the middle of a multi-billion-dollar closed transaction."
"Security, remove these people immediately!"
"I am an officer of the Cook County Chancery Court, Mr. Mercer," the deputy sheriff declared calmly, resting his hand on his duty belt.
"You are being served with an Emergency Petition for Temporary Injunction and Freezing of Marital Assets."
"Case number 2026-CH-04819."
"Petitioner: Natalie Mercer."
The process server dropped a two-inch-thick legal binder onto the center of the mahogany conference table, right across the open prospectus.
A second set of papers was slammed down directly in front of Victoria Sterling.
Victoria jerked back in her leather chair as if a venomous snake had landed on her blotter.
"What is this?" Victoria demanded, her voice losing its polished composure.
"I am general counsel for this committee."
"You are being personally served with a third-party deposition subpoena, Ms. Sterling," the process server announced loudly.
"You are named as an individual co-defendant in an action alleging fraudulent conversion of marital equity."
"You are also subpoenaed to testify regarding intentional safety violations and corporate negligence at Midwest Hauling Logistics."
A collective gasp swept through the room.
The senior partner from Morgan Stanley immediately closed his laptop screen with a loud snap.
"Grant, what the hell is this?" the banker asked, his eyes wide with concern.
"Is Mercer Apex facing an unlisted corporate fraud suit during an IPO freeze period?"
"This is nothing," Grant said, his voice straining to maintain control.
"This is a frivolous domestic dispute brought by an emotionally unstable spouse who is currently undergoing psychiatric evaluation."
"Our legal counsel will have this dismissed within twenty-four hours."
"That will be difficult, Mr. Mercer," the process server added cheerfully from the doorway.
"Chancery Judge Margaret Ross has already issued an ex-parte Temporary Restraining Order."
"All share transfers, stock options, and corporate asset restructuring involving Mercer Apex Holdings are frozen effective ten o'clock this morning."
"The order includes all secondary holding trusts registered in Delaware and the Cayman Islands."
Victoria Sterling opened the first page of the injunction.
Her eyes scanned the bold text of the emergency motion.
Attached as Exhibit C was a full-color copy of the safety inspection bypass memo she had personally signed three weeks ago.
Attached as Exhibit D was the confidential sonogram from her private OB-GYN appointment at Northwestern Memorial.
Victoria’s hands began to shake so violently she dropped the legal brief onto the floor.
"Meeting adjourned," the lead banker said, standing up and gathering his files.
"We cannot participate in an underwriting session while an active asset-freeze order is in effect on the primary voting stock."
"Gentlemen, please!" Grant shouted, raising his arms.
"This is an administrative error!"
None of them listened.
Within ninety seconds, the high-powered bankers had emptied the room, leaving Grant and Victoria standing alone amid scattered papers and half-empty coffee cups.
Victoria turned toward Grant, her face contorted with white-hot fury.
"You told me she was a weak, terrified little mouse!" Victoria hissed, slamming both fists onto the table.
"You told me she would sign the waiver without asking a single question!"
"How does she have my medical records, Grant?"
"How does she have my internal safety memos?"
Grant kicked a leather executive chair across the room, sending it crashing into the glass partition.
"Shut up, Victoria!" Grant roared, ripping his silk tie loose from his collar.
"Just shut up and let me think!"
"Think?" Victoria cried, her voice cracking into hysteria.
"My father is landing at O'Hare in two hours!"
